7. TERM
7.1. This Agreement shall commence on the Effective Date and shall remain in effect for three (3) months (the "Campaign Period"), unless earlier terminated in accordance with this Agreement.
7.2. Upon expiration of the Campaign Period, this Agreement shall terminate automatically, except for provisions that expressly survive termination.
8. TERMINATION
8.1. TERMINATION FOR CONVENIENCE: Either Party may terminate this Agreement by providing fourteen (14) days' written notice to the other Party.
8.2. TERMINATION FOR CAUSE: Either Party may terminate this Agreement immediately upon written notice if the other Party:
(a) Materially breaches any provision of this Agreement and fails to cure within seven (7) days of written notice;
(b) Engages in conduct that brings the other Party into public disrepute or scandal;
(c) Violates any applicable law, regulation, or FTC guideline in connection with this Agreement.
8.3. EFFECT OF TERMINATION:
(a) If the Brand terminates without cause, the Brand shall pay the Influencer for all Content completed and published prior to the termination date, plus a pro-rata portion of compensation for Content in progress;
(b) If the Influencer terminates without cause or the Brand terminates for cause, the Influencer shall refund any pre-paid compensation for Content not yet delivered;
(c) Upon termination, the Influencer shall remove any unpublished drafts and return all Brand materials.
9. CONFIDENTIALITY
9.1. Each Party agrees to hold in strict confidence all non-public information disclosed by the other Party in connection with this Agreement, including but not limited to campaign strategies, product launch dates, pricing, business plans, and the financial terms of this Agreement ("Confidential Information").
9.2. Neither Party shall disclose Confidential Information to any third party without the prior written consent of the disclosing Party.
9.3. These confidentiality obligations shall survive termination of this Agreement for a period of two (2) years.
10. REPRESENTATIONS AND WARRANTIES
10.1. The Influencer represents and warrants that:
(a) They have the legal right and authority to enter into this Agreement;
(b) The Content will be original and will not infringe upon any third-party intellectual property rights;
(c) They have not artificially inflated their follower count, engagement metrics, or audience demographics;
(d) They will comply with all applicable laws, regulations, and Platform terms of service;
(e) They are not subject to any agreement that would prevent them from fulfilling their obligations under this Agreement.
10.2. The Brand represents and warrants that:
(a) They have the authority to enter into this Agreement;

11. GENERAL PROVISIONS
